This Dispute Resolution Policy (“Policy”) outlines the procedures for resolving disputes, claims, or controversies arising from or relating to your use of services provided by Calicx LLC (“Calicx LLC,” “we,” “our,” or “us”). Our aim is to resolve disputes fairly and efficiently.
1. Informal Resolution
We encourage you to contact our support or legal team directly to seek an informal resolution before initiating any formal dispute resolution process. Many issues can be resolved quickly and to mutual satisfaction through direct communication.

2. Mandatory Arbitration
For most disputes, you and Calicx LLC agree to resolve claims through binding arbitration, as detailed in our Terms & Conditions. This means that you waive your right to have disputes heard in court by a judge or jury, except for certain limited exceptions.
2.1 Exceptions to Arbitration:
- Small claims court actions (for claims within the jurisdiction of small claims courts).
- Claims for injunctive or equitable relief to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
- Collection actions for unpaid fees.
2.2 Arbitration Procedures:
Arbitration will be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator. The location of the arbitration will be Sheridan, Wyoming, or another mutually agreed-upon location (including via videoconference).
2.3 Class Action Waiver:
YOU AND CALICX LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
2.4 Arbitration Fees:
Calicx LLC will cover the AAA filing fees and arbitrator compensation for claims under $25,000. For claims over $25,000, fees will be allocated according to AAA rules. Each party is responsible for their own attorney fees unless otherwise awarded by the arbitrator.
2.5 Opt-Out Right:
You may opt out of this arbitration provision within 30 days of your first acceptance of our Terms & Conditions by sending a written notice to info@calicx.com. Please include your name, address, and a clear statement of your intent to opt out.
3. Governing Law and Jurisdiction
This Policy shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles. For any disputes not subject to mandatory arbitration, the exclusive jurisdiction shall be the state and federal courts located in Wyoming.
4. Changes to This Policy
We may update this Dispute Resolution Policy from time to time. Any material changes will be communicated to you as described in our Terms & Conditions regarding policy modifications.
