Data Processing Agreement (DPA) – Calicx LLC

This Data Processing Agreement (“DPA” or “Agreement”) is entered into between Calicx LLC (“Calicx LLC,” “Controller,” or “we”) and you, the user, as the processor of certain data provided by you or processed on your behalf through our services. This DPA outlines the terms and conditions for the processing of personal data to ensure compliance with applicable data protection laws and regulations.

This DPA applies when Calicx processes personal data on your behalf in the course of providing our services to you.

1. Definitions

For the purposes of this DPA, the following definitions shall apply:

  • “Personal Data” means any information relating to an identified or identifiable natural person (Data Subject).
  • “Processing” means any operation or set of operations which is performed on Personal Data, whether or not by automated means.
  • “Controller” refers to the entity that determines the purposes and means of the processing of Personal Data (in this context, Calicx when it determines the purposes of processing data for its own operations, or the User when they control the data they provide).
  • “Processor” refers to an entity that processes Personal Data on behalf of the Controller (in this context, Calicx when it processes data on behalf of the User).
  • “Data Protection Laws” means all applicable laws and regulations relating to the processing of personal data and privacy that apply to the respective party under this DPA, including, where applicable, the GDPR, CCPA/CPRA, and other state privacy laws.

2. Roles of the Parties

  • When Calicx provides services to you where you determine the purposes and means of processing personal data (e.g., when you upload customer data to our cloud services), you act as the Controller, and Calicx acts as the Processor.
  • When Calicx collects data for its own purposes (e.g., website analytics, billing information), Calicx acts as the Controller. This DPA primarily addresses Calicx's role as a Processor acting on your behalf.

3. Details of Data Processing

3.1 Subject-Matter of Processing:

The subject-matter of processing is the personal data submitted by you or collected by Calicx on your behalf to provide the services described in our Terms & Conditions and Privacy Policy.

3.2 Duration of Processing:

Processing will continue for the duration of your use of our services, as specified in your service agreement or until data is deleted in accordance with our data retention policies or your instructions.

3.3 Nature and Purpose of Processing:

Providing cloud computing, AI/ML solutions, software development, IT consulting, logistics, and marketplace services as requested by you.

3.4 Type of Personal Data:

Includes, but is not limited to, names, email addresses, contact information, technical data (IP addresses, device IDs), usage data, and any other data you choose to upload or process using our services.

3.5 Categories of Data Subjects:

Your customers, employees, end-users, or any other individuals whose data you provide or direct us to process.

4. Calicx's Obligations (as Processor)

4.1 Instructions:

Calicx will process personal data only on documented instructions from you, unless required to do so by applicable law. Calicx will inform you of that legal requirement before processing, unless that law prohibits such information.

4.2 Confidentiality:

Calicx ensures that persons authorized to process the personal data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality.

4.3 Security:

Calicx implements appropriate technical and organizational measures to ensure a level of security appropriate to the risk, as described in our Privacy Policy and security documentation.

4.4 Sub-processing:

You agree that Calicx may engage third-party sub-processors to process personal data on your behalf. Calicx will impose on such sub-processors data protection obligations no less protective than those set out in this DPA.

4.5 Data Subject Rights:

Calicx will assist you by appropriate technical and organizational measures, insofar as this is possible, for the fulfillment of your obligation to respond to requests for exercising Data Subject rights under Data Protection Laws.

4.6 Data Breach Notification:

Calicx will notify you without undue delay after becoming aware of a personal data breach, providing you with sufficient information to meet any obligations to report or inform data subjects.

4.7 Assistance to Controller:

Calicx will provide reasonable assistance to you with regard to your obligations concerning data protection impact assessments and prior consultations with supervisory authorities, where required by Data Protection Laws.

4.8 Deletion or Return of Data:

Upon termination of services, Calicx will, at your option, delete or return all personal data to you, unless storage is required by law.

5. Your Obligations (as Controller)

  • You warrant that you have all necessary rights to provide the personal data to Calicx for processing.
  • You are responsible for the accuracy, quality, and legality of the personal data and the means by which you acquired it.
  • You are responsible for establishing and maintaining appropriate technical and organizational measures to protect personal data.
  • You are responsible for responding to data subject requests and for any required data breach notifications to supervisory authorities and data subjects.
  • You agree to comply with all Data Protection Laws applicable to your role as a Controller.

6. Limitation of Liability

The liability of Calicx under this DPA shall be subject to the limitations of liability set forth in the main Terms & Conditions of service between you and Calicx.

7. Governing Law and Jurisdiction

This DPA shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising from or relating to this DPA shall be subject to the exclusive jurisdiction of the courts of Wyoming.

8. Changes to this DPA

Calicx may amend this DPA from time to time. Material changes will be communicated to you as set forth in our Terms & Conditions for service modifications.
